1. Agreement
This End User License Agreement ("EULA") is a legal agreement between you ("User," "you," or "your") and 0xLabs ("Company," "we," "us," or "our") for the use of the 0xLabs security monitoring service, including the web dashboard, notification systems, and related services (collectively, the "Software").
By accessing or using the Software, you agree to be bound by this EULA. If you do not agree to these terms, do not use the Software.
2. License Grant
2.1 Grant of License
Subject to the terms of this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business purposes.
2.2 Scope of License
This license permits you to:
- Access the 0xLabs dashboard through a web browser
- Receive security notifications and alerts
- Generate and download security reports
- Configure monitoring for your authorized GitHub organizations
3. License Restrictions
You may NOT:
- Copy or Distribute: Copy, redistribute, or sublicense the Software to third parties
- Modify: Modify, adapt, translate, or create derivative works based on the Software
- Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
- Remove Notices: Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Unauthorized Access: Attempt to gain unauthorized access to any part of the Software or related systems
- Circumvent: Circumvent any security measures or usage limitations
- Commercial Exploitation: Use the Software to build a competing service or product
- Share Accounts: Share your account credentials with unauthorized users
4. Account and Access
4.1 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4.2 Authorized Users
Depending on your subscription plan, you may authorize additional users to access the Software. You are responsible for ensuring that all authorized users comply with this EULA.
4.3 Access Requirements
To use the Software, you must have:
- A compatible web browser
- An active internet connection
- Valid GitHub authorization (where applicable)
5. Subscription and Fees
Access to certain features of the Software requires a paid subscription. The terms of your subscription, including fees and billing, are described on our pricing page and in our Terms of Service.
6. Intellectual Property
6.1 Open-Source Components
The Software integrates open-source security tools, which remain under their respective licenses. 0xLabs does not claim ownership of these third-party tools and their use is subject to their original license terms.
6.2 Ownership
The 0xLabs platform, including our proprietary scanning system, dashboard, monitoring infrastructure, user interface designs, configurations, workflows, logos, and documentation, is owned by 0xLabs and is protected by copyright, trademark, and other intellectual property laws.
6.3 Your Content
You retain ownership of any data, information, or content you provide through the Software. By using the Software, you grant us a limited license to process your data solely for the purpose of providing the Service.
7. Data and Security
7.1 Data Processing
The Software processes data from your GitHub organizations to detect security vulnerabilities. Our processing of this data is governed by our Privacy Policy.
7.2 Security
We implement industry-standard security measures to protect the Software and your data. However, no system is completely secure, and we cannot guarantee absolute security.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR COMPLETENESS OF RESULTS
We do not warrant that the Software will detect all security vulnerabilities or that it will be uninterrupted or error-free.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 0xLabs BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, business opportunities, or goodwill
- Security breaches or data loss resulting from undetected vulnerabilities
- Any damages exceeding the fees paid by you in the 12 months preceding the claim
10. Indemnification
You agree to indemnify and hold harmless 0xLabs and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your use of the Software
- Your violation of this EULA
- Your violation of any third-party rights
11. Term and Termination
11.1 Term
This EULA is effective until terminated by either party.
11.2 Termination by You
You may terminate this EULA at any time by discontinuing use of the Software and deleting your account.
11.3 Termination by Us
We may terminate or suspend your license immediately if you breach any term of this EULA or engage in prohibited conduct.
11.4 Effect of Termination
Upon termination, your right to use the Software ceases immediately. Sections 6, 8, 9, 10, and 13 shall survive termination.
12. Updates and Modifications
We may update the Software from time to time to improve functionality, fix bugs, or address security issues. We may also modify this EULA, with notice provided through the Software or by email.
13. General Provisions
13.1 Entire Agreement
This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and 0xLabs regarding the Software.
13.2 Severability
If any provision of this EULA is found to be unenforceable, the remaining provisions shall continue in full force and effect.
13.3 Waiver
Our failure to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer this EULA without our prior written consent. We may assign this EULA without restriction.
